3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

Account Security: You are responsible for safeguarding the password and for all activities that occur under your account
Account Access: You must notify us immediately of any unauthorized use of your account
Multiple Accounts: You may not create more than one account without our prior written permission
Account Termination: We reserve the right to refuse service, terminate accounts, or remove/edit content at our sole discretion

Security Responsibility: You are solely responsible for maintaining the confidentiality of your account credentials. Crescere Luna Digital will not be liable for any loss or damage arising from your failure to comply with this security obligation.

4. Intellectual Property Rights

The Services and their original content, features, and functionality are and will remain the exclusive property of Crescere Luna Digital and its licensors.

Our Intellectual Property Includes:

Proprietary software and applications
Brand names, logos, and trademarks
Content, documentation, and training materials

Your Intellectual Property:

All professional services are governed by separate Service Agreements that specify:

Deliverables: Specific outputs and acceptance criteria

Payment Terms

Invoicing: We issue invoices according to the payment schedule in your Service Agreement
Payment Methods: We accept bank transfers, credit cards, and other agreed payment methods
Late Payments: Late payments may incur interest charges and affect service delivery
Taxes: All prices are exclusive of applicable taxes unless otherwise stated

Important: These Terms govern your use of our website and general Services. Specific service engagements are covered by individual Service Agreements that supersede these Terms for those specific services.

6. User Responsibilities

Total Liability Cap: Our total liability to you for all claims arising from or related to these Terms or the Services shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

Force Majeure: We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, and internet service failures.

9. Indemnification

You agree to defend, indemnify, and hold harmless Crescere Luna Digital and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees, arising out of or in any way connected with:

Your violation of any third-party right, including intellectual property or privacy rights
Any claim that your content caused damage to a third party

10. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon Termination:

Your right to use the Services will immediately cease
If you wish to terminate your account, you may simply discontinue using the Services
All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

Service Agreement Termination:

For ongoing service engagements, termination is governed by the specific terms in your Service Agreement, including any notice periods and termination fees.

11. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Dispute Resolution Process:

Informal Negotiation: Parties shall attempt to resolve disputes through good faith negotiations
Mediation: If negotiation fails, parties shall attempt mediation before pursuing litigation
Arbitration: Any disputes not resolved through mediation shall be settled by binding arbitration in Singapore
Jurisdiction: Courts in Singapore shall have exclusive jurisdiction over any disputes

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us individually. There is no right or authority for any dispute to be brought on a class action basis or to have any dispute participate in any class or representative proceeding.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change:

Significant changes to user rights or obligations
Changes to payment terms or service fees
Changes to dispute resolution procedures
Changes affecting data privacy or security

Continued Use: By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Services.
